Terms of Service

In these Terms, unless the context requires otherwise:

"Content" means all text, copy, graphics, images, logos, marks, data, layouts, designs, software, and other materials made available through the Services.

"Platform" means the modular software platform and its constituent products and modules offered by Narrations.

"User", "you", or "your" means any person or entity who accesses or uses the Services.

"Submission" means any information, data, message, email address, name, or other material you provide through any form, field, or communication channel on the Services.

"Free Zone Authority" means the free zone authority in the Emirate of Sharjah under whose licence Narrations LLC is registered.

Your use of the Services constitutes your acceptance of these Terms. We reserve the right, at our sole and absolute discretion, to amend, modify, replace, or update these Terms at any time and without prior notice to you. Any changes take effect immediately upon posting of the revised Terms to the Services, unless stated otherwise.

Your continued use of the Services after any change constitutes your acceptance of the amended Terms. It is your responsibility to review these Terms periodically. We do not undertake to notify you individually of changes.

You may request the most current version of these Terms, or clarification of any clause, by contacting us at contact@narrations.io. We will respond to any such request within a reasonable period of time as determined by us, and we accept no obligation to respond within any fixed or guaranteed timeframe.

The Services are directed to and intended for businesses and professional users located outside the United Arab Emirates, and are provided in accordance with the permitted scope of business of Narrations LLC as a free zone entity under the laws of the Emirate of Sharjah and the applicable free zone regulations.

Narrations does not offer, market, or provide its Services to clients based in the United Arab Emirates mainland except to the extent expressly permitted under its free zone licence and applicable UAE law. By using the Services or engaging Narrations, you represent and warrant that you are permitted to receive the Services in your jurisdiction and that your engagement does not place Narrations outside its permitted scope of business.

You are solely responsible for ensuring that your access to and use of the Services is lawful in the jurisdiction from which you access them. If access to or use of the Services is prohibited or restricted in your jurisdiction, you must not use the Services.

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Services.

Narrations is an artificial intelligence company for the digital economy. It provides, among other things: the Narrations software platform; private and enterprise artificial intelligence systems; and operator-supported and done-with-you workflows across content, social, community, investor materials, market intelligence, distribution, analytics, and diligence functions.

Descriptions of the Services, products, features, and outcomes presented on the website are provided for general informational purposes only. They do not constitute an offer, a warranty, or a binding commitment. The specific scope, deliverables, fees, and terms of any engagement will be set out in a separate written agreement, statement of work, order form, or quotation agreed between you and Narrations. In the event of any conflict between such a separate agreement and these Terms, the separate agreement prevails in respect of that engagement.

We reserve the right to modify, suspend, withdraw, or discontinue any part of the Services, including any product, feature, or module, at any time and without liability to you.

You acknowledge and agree that Narrations does not guarantee, and expressly disclaims any representation or warranty as to, any specific result, outcome, performance, ranking, placement, media coverage, exchange listing, fundraising result, traffic, engagement, citation, return on investment, or other outcome arising from the Services.

Any figures, statistics, case references, or track-record information presented on the website, including but not limited to references to projects shaped, articles produced, media outlets, or capital raised, are provided for illustrative and informational purposes only, describe past activity, and are not a promise or prediction of future results. References to capital raised describe amounts raised by client projects and third parties to which Narrations contributed, and do not represent capital raised by Narrations itself.

Pricing for the Services is modular and quotation-based. Any prices, packages, or example figures shown on the website are indicative only, are subject to change without notice, and do not constitute a binding offer. Binding pricing is provided only through a written quotation or agreement. Payment terms, taxes, and any applicable charges will be set out in that quotation or agreement. All fees are non-refundable except where expressly stated in writing.

Where you submit information through any contact form, demo request form, newsletter signup, or other channel on the Services, you represent and warrant that the information you provide is accurate and that you are entitled to provide it. Your Submissions are handled in accordance with our Privacy Policy.

You submit information at your own risk. To the maximum extent permitted by law, Narrations accepts no liability for any loss, damage, interception, unauthorised access, or misuse of information transmitted to us over the internet, which is an inherently insecure medium. See Section 12 (Limitation of Liability).

All Content on the Services, including but not limited to the Narrations name and platform, product names, page copy, designs, graphics, structure, and software, is owned by or licensed to Narrations and is protected by intellectual property and other laws. Except as expressly permitted, you may not copy, reproduce, republish, distribute, modify, create derivative works from, publicly display, or exploit any Content without our prior written consent.

Nothing in these Terms grants you any right, title, or interest in any intellectual property of Narrations, other than a limited, revocable, non-exclusive, non-transferable licence to view the Content for your own internal, non-commercial evaluation of the Services.

This Section applies to all names, logos, trademarks, service marks, brand features, and other marks of third parties that may appear anywhere on the Services (collectively, "Third-Party Marks").

9.1 Identification and reference only. Any Third-Party Marks displayed on the Services are used solely for the purpose of identification, reference, and description. Their display is intended to indicate companies and organisations with which the founders of Narrations have worked in a personal and professional capacity during their careers, and, separately, companies and organisations that have been clients of, or have engaged with, Narrations. Such display is descriptive and is made in good faith. It does not, and is not intended to, indicate any current partnership, sponsorship, endorsement, affiliation, agency, joint venture, or approval by the owners of those Third-Party Marks, unless expressly stated in writing.

9.2 No claim of ownership; no official reproduction. Narrations claims no ownership of any Third-Party Marks. All Third-Party Marks remain the exclusive property of their respective owners. Any Third-Party Marks appearing on the Services are the property of those owners and may not be, and should not be assumed to be, official, current, exact, or authorised reproductions. Such marks may be rendered in a manner that does not conform to, and may depart from, the brand guidelines, colour, form, spacing, or usage requirements of their respective owners. No representation is made that any depiction of a Third-Party Mark is accurate, official, or compliant with the owner's brand standards.

9.3 No endorsement. Nothing on the Services shall be construed as granting, by implication, estoppel, or otherwise, any licence or right to use any Third-Party Mark. The presence of a Third-Party Mark does not imply that the owner of that mark endorses, sponsors, is affiliated with, or is associated with Narrations, its Services, or its content.

9.4 Good-faith removal on request. Narrations respects the intellectual property rights of others. If you are the owner of a Third-Party Mark, or an authorised representative of such an owner, and you object to the display of your mark on the Services, or wish to have it removed, corrected, or amended, you may contact us at contact@narrations.io with details of the mark and your request. Upon receipt of a valid request, Narrations will review the request in good faith and will remove or amend the relevant material within a reasonable period of time as determined by Narrations. This removal mechanism is offered as a good-faith accommodation and does not constitute an admission of any liability, wrongdoing, or infringement of any kind by Narrations.

9.5 No admission. The provisions of this Section, including the offer to remove material on request, are made without prejudice to and shall not be treated as any admission by Narrations of infringement, liability, or the validity of any claim.

You agree not to, and not to permit any third party to: use the Services for any unlawful, fraudulent, or unauthorised purpose; interfere with or disrupt the integrity or performance of the Services; attempt to gain unauthorised access to the Services or their related systems; scrape, harvest, or extract data from the Services by automated means without our written consent; reverse engineer, decompile, or disassemble any part of the Services; introduce any malicious code; or use the Services in any manner that could damage, disable, overburden, or impair them or infringe the rights of any other party.

We reserve the right to suspend or terminate your access to the Services immediately, without notice and without liability, if we determine in our sole discretion that you have breached these Terms.

The Services may rely on, integrate with, or link to third-party products, platforms, processors, or websites, including but not limited to hosting providers, database and workspace tools, email and communication tools, and analytics providers. Narrations does not control and is not responsible for the availability, content, policies, security, or practices of any third party. Your use of any third-party service is at your own risk and subject to that third party's own terms and policies. Narrations accepts no liability arising from any third-party service.

12.1 Services provided "as is". To the maximum extent permitted by applicable law, the Services and all Content are provided on an "as is" and "as available" basis, without warranties or representations of any kind, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, availability, or uninterrupted or error-free operation. Narrations does not warrant that the Services will meet your requirements or that any defects will be corrected.

12.2 Exclusion of liability. To the maximum extent permitted by applicable law, Narrations, together with its owners, directors, officers, employees, operators, agents, and affiliates, shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, business, or opportunity, arising out of or in connection with your access to or use of, or inability to use, the Services, whether based in contract, tort, negligence, strict liability, or any other legal theory, and whether or not Narrations has been advised of the possibility of such damages.

12.3 Data transmission and breach. The internet is not a secure medium. To the maximum extent permitted by applicable law, Narrations accepts no liability for any interception, loss, corruption, unauthorised access to, or disclosure of any information transmitted to or from the Services, including as a result of any security incident, breach, or attack affecting Narrations or any third-party processor, save to the extent such liability cannot be excluded under applicable law. You provide information to the Services at your own risk.

12.4 Aggregate cap. To the maximum extent permitted by applicable law, the total aggregate liability of Narrations arising out of or in connection with the Services and these Terms shall not exceed the greater of (a) the total fees actually paid by you to Narrations in the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars (USD 100).

12.5 Non-excludable rights. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law. Where liability cannot be excluded but can be limited, our liability is limited to the maximum extent permitted.

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Narrations and its owners, directors, officers, employees, operators, agents, and affiliates from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or in connection with your access to or use of the Services, your Submissions, your breach of these Terms, or your violation of any law or of the rights of any third party.

We may suspend or terminate your access to the Services at any time, for any reason or no reason, without notice and without liability. Upon termination, all provisions of these Terms which by their nature should survive, including Sections 5, 8, 9, 12, 13, and 15, shall survive.

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the applicable free zone regulations of the Emirate of Sharjah and, to the extent applicable, the federal laws of the United Arab Emirates, without regard to conflict-of-laws principles.

You agree to submit to the exclusive jurisdiction of the competent courts and dispute-resolution bodies of the applicable free zone and the Emirate of Sharjah, United Arab Emirates, for the resolution of any dispute arising out of or in connection with these Terms or the Services.

16.1 Entire agreement. These Terms, together with the Privacy Policy and any written agreement between you and Narrations, constitute the entire agreement between you and Narrations regarding the Services and supersede all prior understandings.

16.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.

16.3 No waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that or any other provision.

16.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.

16.5 No partnership. Nothing in these Terms creates any partnership, agency, employment, or joint venture between you and Narrations.

16.6 Language. These Terms are drafted in English. Any translation is provided for convenience only, and the English version prevails in the event of any inconsistency.
